This statement of Terms of Use states MuzicNotez (www.MuzicNotez.com) principles and codes of conduct. This governs our relationship between users and others who interact with MuzicNotez. MuzicNotez.com is a social networking and online promotion site for musical artists and their fans.

MuzicNotez Magazine features emerging talent from all over the world. We allow and promote artistic freedom; we don’t censor, however we maintain a moral standard. If you find anything offensive in our magazine please contact us.

We offer web campaigns and management through our PR Team. Our services are guaranteed and we continually go above and beyond to serve you. We present you in the most professional manner to ensure the highest acceptance rate to the press opportunities we send you to. However, at the end of the day your music needs to sell itself of course.

In this community we will all respect each other, and obey these rules stated. MuzicNotez is permitted to update and change these terms at any time in any form, it is therefore important that you view this agreement regularly. By using or accessing MuzicNotez you agree to this statement.

1. Upon Registration
1.1. You will not provide any false personal information on MuzicNotez, or create an account for anyone except for yourself without permission.
1.2. If you create an account as a tribute to a band/artist, you must state in the name that it is a “Tribute”; this states that the account was not personally created by that band/artist.
1.3. You will not use MuzicNotez if you are under the age of 13.
1.4. You will not use MuzicNotez if you are a convicted sex offender.
1.5. You will keep your contact information accurate and updated.
1.6. You will not share your password, allow anybody to access your account, or do anything that would put the security of your account at risk.
1.7. We reserve the right to remove or reclaim any usernames/URLs created by you if we believe it is appropriate (e.g., if a trademark owner complains about a username that does not closely relate to the member’s actual name).
1.8. We may remove or suspend your account at any time for any or no reason, with or without any prior notice or explanation to you.

1.10. MuzicNotez has full authority to reject or remove any postings or messages, be it public or private, at any time.
1.11. Upon registration to MuzicNotez you have rights to use any features provided for you; if you do not obey all rules stated in this “Terms of Use” we may suspend/remove your account as stated in article 1.8.
1.12. Without registration you may not be able to use all features MuzicNotez provides; however any individual who views MuzicNotez in any capacity is accountable to follow all rules stated in this “Terms of Use”.

2. Sharing Your Content and Information
2.1. You own all information and content posted on MuzicNotez.
2.2. You may remove or change any information or content posted on MuzicNotez at any time for any reason. Removal does not affect prior shares, reposts, or placements already made.
2.3. We may remove or change any information or content posted on MuzicNotez at any time for any reason.
2.4. Any content/information posted on MuzicNotez must not break any laws of the United States of America.
2.5. MuzicNotez assumes no responsibility or liability for any content/information posted via MuzicNotez that is unauthorized or otherwise violates this “Terms of Use” or any laws, and holds no obligation to monitor, modify, or remove any content, and no responsibility for the member submitting such content.
2.6. All members of this MuzicNotez community are held responsible for all content/information that they post on, through, or in connection to any MuzicNotez services, or any content/information transmitted to other members, and for any interactions between members of this community. (see article 2.5)
2.7. Any content/information posted on MuzicNotez must abide by all copyrights and licenses, and may not be added unless owned by you or you have written permission/licenses from the owner(s) (including master and composition rights, samples, artwork, photos, video, and any persons’ names, images, or likenesses appearing).
2.8. No content/information on MuzicNotez may be copied or distributed by anyone but MuzicNotez; fans may share links/embeds provided by the platform, but may not download or re-upload files unless expressly permitted by the artist or platform tools.
2.9. No content/information on MuzicNotez may be downloaded unless permitted by the artist personally or enabled on the artist’s page.
2.10. MuzicNotez reserves all rights not expressly granted in and to the Website and the Content.
2.11. MuzicNotez does not guarantee confidentiality with respect to any member’s content/information uploaded.
2.12. License to MuzicNotez. You retain ownership of your content. By submitting content/information to MuzicNotez, you grant MuzicNotez a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, reproduce, adapt, edit for format, publicly perform and display, distribute, and otherwise use the content—and your name, image, likeness, and logos—to operate the site and to promote you and our services across our websites, emails, social channels, ads, and partner placements. You may request removal of future uses with reasonable notice; removals may not affect prior posts/shares/ads already placed.
2.13. All videos/images shall contain no nudity or offensive material.
2.14. MuzicNotez Magazine’s content is provided by the artists within it or their representatives.
2.15. You must maintain rights or represent an artist’s music to submit it to our Magazine or PR Team for promotion.
2.16. If you hold rights to content in our Magazine you would like removed, contact us and we will review and act per our copyright policy.
2.17. Any communication with MuzicNotez and our staff via contact forms, email or anything throughout our site(s) gives us rights to your contact information; you may receive future website messages, newsletters, emails and promotions that relate to the music promotion you’re inquiring about.
2.18. We will not sell or distribute your contact information to anybody or use your information for anything outside of MuzicNotez.

2A. Creator Representations & Warranties
You represent and warrant that: (i) you own and/or control all rights in and to the content you submit (including master recording and musical composition, artwork, photos, video, and any third-party materials) or you have obtained all necessary licenses, permissions, and consents; (ii) the content does not infringe or misappropriate any copyright, trademark, privacy, or publicity right, and contains no uncleared samples; (iii) all persons whose names, images, or likenesses appear in the content have granted you permission; and (iv) your submission complies with applicable laws and platform rules.

3. Prohibited Content and Information
3.1. No content or information that is illegal in the U.S.A. or prohibited may be uploaded to MuzicNotez.
3.2. No offensive material that promotes or incites racism, bigotry, discrimination, hatred, or any harm to any group or individual.
3.3. No harassment of any group or individual.
3.4. Nothing that contains nudity, extreme violence, or offensive subject matter.
3.5. Nothing may contain a link to an adult website.
3.6. No soliciting of anyone under 18.
3.7. No publicly posting content/information that breaks any group or individual’s privacy, or creates a security risk.
3.8. No false information you know is misleading or promotes illegal activity, or conduct that is abusive, obscene or threatening.
3.9. No transmission of “junk mail,” “chain letters,” unsolicited mass mailing, instant messaging, or “spamming.”
3.10. Nothing that promotes buying or selling of illegal materials.
3.11. Nothing containing an individual without that person’s consent.
3.12. Nothing that violates or attempts to violate any privacy rights, publicity rights, trademark rights, copyrights, contract rights, or any other rights of any group or individual.
3.13. No gambling, fraud, child pornography, stalking, drug dealing, or any other criminal activity. (see article 3.1)
3.14. No material that contains viruses, bots, spiders, worms, or any other code, program or file that interrupts, destroys or limits the function of software/hardware, or permits unauthorized access to a computer or network.
3.15. No unlawful marketing, such as pyramid schemes.

4. MuzicNotez Services and Sales
4.1. All sales are final and no refunds can be given.
4.2. We guarantee you will receive what you pay for via a service or a product.
4.3. The “30 Day money back guarantee” on our Representation Packages is void after you receive your first press spot through us.
4.4. Our Indie Campaigns & Management packages present you professionally to opportunities that fit you, ensuring the highest acceptance rate possible. However your music must sell itself; beyond submission, we are not liable for the press opportunities’ response to your music. Any accepted press you will be notified by us.
4.5. Once you purchase one of our packaged management deals, we have the rights to represent you and your music for the scope of that package.
4.6. We do not maintain any rights to profit off any revenue you generate from our promotion unless otherwise agreed in writing.
4.7. Any order made through MuzicNotez.com will be fulfilled within a timely manner; any delay may be from first-come, first-served fulfillment and/or awaiting materials we require from you.

5. Copyright Policy (DMCA) & Repeat Infringers
5.1. MuzicNotez respects intellectual property rights and responds to proper notices under 17 U.S.C. §512.
5.2. Notices. Rights holders may send a notice to our Designated Agent that includes: (a) identification of the copyrighted work; (b) identification of the material to be removed with sufficient detail (URL/screenshot); (c) contact information; (d) a statement of good-faith belief; (e) a statement under penalty of perjury; and (f) a physical or electronic signature.
5.3. Counter-Notices. If you believe your removed content was misidentified or removed in error, you may send a counter-notice meeting §512 requirements. We may restore content per the statute unless we receive notice of action filed.
5.4. Repeat Infringers. We may terminate or suspend accounts of repeat infringers and remove allegedly infringing content at our discretion.

6. Indemnification
You agree to defend, indemnify, and hold harmless MuzicNotez, its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your content, (b) your use of the services, or (c) your breach of these Terms.

7. Disclaimers; Limitation of Liability
7.1. Disclaimers. The website, services, and all content are provided “as is” and “as available” without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, and non-infringement).
7.2. Limitation. To the maximum extent permitted by law, MuzicNotez will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim will not exceed the greater of (a) USD $100 or (b) the amounts you paid to us for the service giving rise to the claim.

8. Platform-Native Processes (Third-Party Platforms)
For platforms like Facebook/Instagram/YouTube, we act through the platform’s native rights-management and support channels. We do not process takedown demands sent from personal email accounts or consumer file-sharing links. Rights holders should use proper DMCA notices or platform tools.

9. Governing Law; Venue; Electronic Signatures
These Terms are governed by the laws of Wisconsin, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Washington County, Wisconsin. You consent to transact electronically, and agree that electronic records and signatures are legally binding.

10. Acceptance & Updates
By using MuzicNotez you accept these Terms. We may update these Terms at any time by posting a revised version; continued use constitutes acceptance of the updated Terms.

By providing content or using any of our services, you acknowledge and accept the following:
• I own or have fully cleared all rights (master/composition/artwork/likeness) in the content I submit.
• I grant MuzicNotez the license described in the Terms to use my content to promote me and the services.
• I agree to indemnify MuzicNotez for claims arising from my content.
• I am 18+ and authorized to act for the rights holder.
